Finance question
How long does business acquisition finance take?
It depends on what is being bought and what secures it, and the date that matters is the finance clause in your sale contract. Equipment that comes with the business can be approved in 24 to 48 hours. Goodwill and property take longer, because the lender needs the vendor's financials, a valuation and a legal review. Start the application before you sign, not after.

The short answer
The contract sets the clock, not the lender
There is no standard number of weeks, because the deadline comes from the contract, not the lender. A sale contract carries a finance clause, a date by which your finance has to be approved or you can walk away. The length of that window is negotiated, so ask your solicitor what yours says before you sign, and work back from that date. Many delays are not a slow lender. They are things nobody started early: the vendor's financials, the valuation, a licence or a landlord's consent.
Licences are the clearest example. In the trades guide, a plumbing purchase needs a nominee registered at settlement, typically a four to eight week lead, and electrical is comparable, so the licence path belongs in the settlement timeline before the finance clock starts (trades business guide). The same guide says deposits run 20 to 30% and banks rarely fund more than 50 to 70% of goodwill, with vendor finance commonly bridging the gap. Where the balance comes from, whether home equity, vendor finance or both, has to be settled in the first week, not the third.
The usual order of work is short. An indication of structure, which lender, how much and what security, normally comes back within a day. The lender then reads the vendor's financials, usually two to three years, and orders a valuation where the property or going concern needs one. Legal review and settlement follow. Vehicles and plant in the deal are the quick part, because the asset secures the loan and equipment approvals can land in 24 to 48 hours. Goodwill and property are the slow part, because they must be valued and the title checked. Ventas is a broker across 40+ lenders, with no upfront fee to you, and splitting the deal this way stops the slow part holding up the fast part.
What sets the pace
The four items that decide how long your purchase takes.
The finance clause date
Get the date in writing before you sign, and work back from it.
Vendor financials
Usually two to three years, with BAS that reconcile, ready on day one.
Valuation and title
Goodwill and property are valued and checked, which takes longer than equipment.
Licences and consents
Nominee licences and landlord consent run on their own clocks.
Why starting early shortens it
Indication in a day
You see the shape of the deal before the contract clock is ticking.
Equipment moves first
Vehicles and plant can be approved in 24 to 48 hours on their own.
Gaps closed early
Equity or vendor finance for the balance is arranged while the valuation runs.
A worked example
A plumber signs for a $620,000 plumbing business: $500,000 of goodwill and $120,000 of vans and tools. The vans and tools finance against the gear. Goodwill is funded at up to 70%, which is $350,000, and the other $150,000 comes from equity in her home. Her nominee licence needs a four to eight week lead, so she lodges it the week she signs. The licence, not the loan, sets the settlement date. Illustrative only.
Common questions
Frequently asked questions
What is a finance clause in a business sale contract?
A condition that lets you withdraw if finance is not approved by a set date. The length of the window is negotiated in the contract, so ask your solicitor to confirm it before you sign.
Can part of the deal be approved before the rest?
Often yes. Vehicles and plant that come with the business can be financed against the assets themselves, and equipment approvals can land in 24 to 48 hours, while goodwill and property take longer to value and check.
What commonly slows an acquisition down?
Items started late: the vendor's financials, the valuation, a landlord's consent or a licence transfer. Trade licences are the clearest case, with plumbing typically needing a four to eight week lead for a nominee.
What if the finance clause date is about to pass?
Ask the vendor for an extension in writing before the date, not after. Tell your solicitor and your broker early, because the outstanding item is usually one thing, such as a valuation, and a broker can chase it.
